Corporate Law & Intellectual Property

We identify value for our clients

by aligning legal work with the appropriate cost based on the risk, novelty and complexity of the work.

  • Commercial Transactions
  • Trademarks
  • Licensing

Our flexible cost model is designed to value routine low risk

legal matters with much lower rates. Further, we understand that a client's legal needs ebb and flow similar to a tide. It is often difficult to forecast demand. We can place a talented team together based on our client's needs and demands.

The founder has served as in house counsel

to medium sized companies and has a unique perspective on each client's bottom line, efficiency and flexibility. We do it better based on our size and flexibility.

Practice Areas

Our firm practices licensing and transferring intellectual property, including but not limited to, trademarks, copyrights and logos etc. We vigorously enforce our clients' rights to their intellectual property pursuant to federal and state laws. Part of our licensing practice includes drafting and reviewing licensing agreements, royalty agreements and private label agreements.

We have years of experience with brands, private labels and even artist agreements. Some of our services include:

  • -   trademark and copyright licenses
  • -   website terms and conditions of use
  • -   artist licensing agreements (musicians etc.)
  • -   cease and desist demands

A trademark is a word, phrase, symbol, and/or design that identifies and distinguishes the source of the goods of one party from those of others.

Must all marks be registered? No, but federal registration has several advantages, including a notice to the public of the registrant's claim of ownership of the mark, a legal presumption of ownership nationwide, and the exclusive right to use the mark on or in connection with the goods or services set forth in the registration.

A copyright protects works of authorship, such as writings, music, and works of art that have been tangibly expressed.

Our services include:

  • -   filing trademark applications with the United States Patent and Trademark Office (USPTO)
  • -   defending registered trademarks form possible infringers
  • -   responding to USPTO Examiner questions and denials
  • -   cease and desist demands
  • -   monitoring our clients' trademarks
  • -   researching the feasibility of a mark

A brand is often the face of a company or individual. Significant resources are invested in developing a distinctive and recognizable brand. Whether the brand is emerging or established, it is critical that the brand is protected. We understand that our clients' brands and goodwill are extremely valuable assets. As a result, we have devoted significant resources that enable us to enforce our clients' brands and intellectual property.

We have represented clients with their brands in industries such as pharmaceuticals, music, film and consumer goods. We also provide investigative services and work closely with district attorneys and law enforcement regarding brand protection.

We advise on the legal responsibilities of social media and how social media platforms should be applied to enhance our clients' intellectual property. Our social media representation includes advice on how such platforms should be used by our clients' employees and agents. Additionally, we enforce social media infringement and use matters that may arise from time to time.

We regularly advise our clients with their intellectual property related contracts and their policies and procedures. It is paramount in business to protect trade secrets and confidential information. We have much experience preparing non-disclosure agreements, confidentiality agreements, non-circumvention agreements, non-compete agreements and several other types of intellectual property related transactional matters.

We handle a wide range of business litigation for local, national and international clients. Our experience includes state and federal courts, arbitration, mediation, administrative proceedings and negotiation. We work closely with our clients to understand their needs and goals. Moreover, as prior in-house counsel, we appreciate our clients' concerns regarding time and money. The litigation process should be approached as if we are preparing for trial. Yet, in many instances, the process is resolved with critical negotiation.

Our services include:

  • -   trade secrets
  • -   contract disputes
  • -   trademark disputes
  • -   estate and trust disputes
  • -   commercial disputes

We advise emerging and established companies with purchase agreements, mergers, acquisitions and their transactional matters. We are dedicated to understanding our clients' needs and goals in every transaction. Further, our cost model provides our clients with flexibility and efficiency.

We understand that a client's needs and goals often ebb and flow similar to a tide. Our flexible cost model analyzes the complexity, novelty and risk of the legal work against routine low risk legal work. As prior in-house counsel, we appreciate the needs and demands of corporate clients. For instance, high-risk complex legal work should be valued differently than routine low risk legal work. There is no one size fits all with respect to legal billing.

Further, we have taken equity interests in emerging companies in exchange for legal work. Although we prefer to balance the equity and fees, each matter is approached with a fresh perspective.

Our firm advises on all aspects of estate planning and business succession planning. We prepare trusts, wills, health care directives, powers of attorney and ancillary documents.

Our experience includes trust litigation and negotiation. Further, we manage death administrations and probates.

Our services include:

  • -   Revocable Trusts
  • -   Irrevocable Trusts
  • -   Wills
  • -   Health Care Directives
  • -   Powers of Attorney – Financial
  • -   Probate
